Terms of Service

1. Agreement to Terms

By accessing or using Vendify ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform.

2. Description of Service

Vendify provides a platform connecting event organizers with vendors seeking to book vendor tables at events. The Platform facilitates:

• Event organizers posting events and available vendor tables
• Vendors discovering and booking available tables
• Payment processing through Stripe
• Management of bookings and event details

3. User Accounts

3.1 Account Creation

Organizers must create an account to post events. You agree to provide accurate, current, and complete information and to update such information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Payments and Fees

4.1 Platform Fee

Vendify charges a 10% platform fee on all successful table bookings. The remaining 90% is owed to the event organizer.

4.2 Payment Processing

All payments are processed through Stripe. By using the Platform, you agree to Stripe's Terms of Service. Vendify is not responsible for any issues arising from Stripe's payment processing.

4.3 Organizer Payouts

Organizers will receive their portion (90% of table bookings) through manual payouts processed by Vendify. Payout timing and methods will be communicated separately.

4.4 Refunds

Refund policies are determined by individual event organizers. Vendors should review the event details and contact organizers directly regarding refund requests. Vendify facilitates but does not guarantee refunds.

5. Organizer Responsibilities

As an event organizer, you agree to:

• Provide accurate and complete event information
• Honor all confirmed bookings
• Communicate promptly with vendors
• Provide the services and amenities described in your event listing
• Comply with all applicable laws and regulations
• Not discriminate against vendors based on protected characteristics

6. Vendor Responsibilities

As a vendor, you agree to:

• Provide accurate contact and business information
• Honor confirmed bookings and attend booked events
• Comply with event rules and organizer requirements
• Operate in accordance with applicable laws and regulations
• Communicate respectfully with organizers and other vendors

7. Cancellations

7.1 By Organizers

Organizers may cancel bookings through the Platform. Cancellation policies and refund eligibility are at the organizer's discretion. Organizers should communicate cancellation policies clearly in their event descriptions.

7.2 By Vendors

Vendors must contact event organizers directly to request cancellations. Refund eligibility depends on the organizer's cancellation policy.

8. Prohibited Conduct

You may not:

• Use the Platform for any illegal purpose
• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Interfere with or disrupt the Platform's operation
• Attempt to circumvent payment processing or fees
• Harvest or collect user information without consent
• Use automated systems to access the Platform
• Engage in any form of harassment or abuse

9. Intellectual Property

The Platform and its original content, features, and functionality are owned by Vendify and are protected by copyright, trademark, and other intellectual property laws.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VENDIFY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Vendify is a marketplace platform and is not a party to any agreements between organizers and vendors. We do not guarantee the quality, safety, or legality of events or the accuracy of user-provided information.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for all claims arising from or relating to the Platform shall not exceed the greater of $100 or the amount of fees paid by you to Vendify in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vendify and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will immediately cease.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms with a new "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or use of the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or small claims court.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms constitute the entire agreement between you and Vendify regarding use of the Platform and supersede any prior agreements.
